Business judgment rule w prawie i orzecznictwie stanu Delaware

Celem artykułu jest przedstawienie i ocena zasady biznesowego osądu (business judgment rule, BJR) w prawie i orzecznictwie stanu Delaware jako jednej z kluczowych instytucji prawa korporacyjnego o znaczeniu praktycznym, normatywnym i gospodarczym. W opracowaniu omówiono strukturę normatywną BJR, przesłanki jej zastosowania oraz funkcję ochrony decyzyjnej zarządzających, która determinuje podejmowanie ryzyka, w tym radykalnego. W artykule wykorzystano metodę dogmatyczno- prawną i egzegezę prawa w celu systematyzacji dorobku orzeczniczego i normatywnego stanu Delaware. Uwzględniono także literaturę amerykańską z obszaru prawa korporacyjnego, jak również zarządzania i ekonomii, co pozwoliło ukazać istotę komplementarnego związku między BJR a praktyką corporate governancecompliance. W następstwie oceny BJR ustalono, że stanowi ona dynamiczną doktrynę równoważącą swobodę decyzyjną zarządzających z ich odpowiedzialnością, która nie tylko kształtuje praktykę ładu korporacyjnego, ale także wpływa na stabilność i przewidywalność prawa oraz otoczenia gospodarczego stanu Delaware, aż wreszcie oddziałuje na rozwój innowacyjnej gospodarki amerykańskiej.
